Kortex Terms of Service

These Terms of Service ("Terms") govern your use of the Kortex smart link platform ("Service") operated by Kaayko ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

Kortex provides smart link creation, campaign management, click analytics, attribution tracking, and related infrastructure services. The Service is offered in tiered plans: Starter (free), Pro, Business, and Enterprise.

2. Account Registration

• You must provide accurate information during registration.
• You are responsible for maintaining the security of your account credentials.
• One person or entity may not maintain more than one free account.
• You must be at least 18 years old to use the Service.

3. Plans, Pricing & Payment

• Starter: Free. 25 links, 3 campaigns, 7-day analytics. "Powered by Kortex" badge on redirects.
• Pro: $79/month. 500 links, 25 campaigns, 90-day analytics, 5,000 API calls/month.
• Business: $199/month. 2,500 links, unlimited campaigns, full analytics, 25,000 API calls/month, multi-tenant, webhooks.
• Enterprise: Custom pricing. Unlimited everything, SLA, custom domains, white-label.

Payments are processed via Stripe. Subscriptions renew monthly unless cancelled. You may upgrade or downgrade at any time; downgrades take effect at the end of the current billing period.

4. Usage Limits

Each plan has defined limits for links, campaigns, API calls, and analytics depth. When you reach a limit, further creation is blocked until you upgrade or reduce usage. We do not delete content when limits are reached.

5. Data Ownership

• You retain ownership of all content you create through the Service (links, campaigns, analytics data).
• We do not sell your data to third parties.
• We may use anonymized, aggregated usage data to improve the Service.
• You grant us a limited license to process, store, and display your content solely to operate the Service.

6. Cancellation & Churn Policy

• Voluntary cancellation: You may cancel your subscription at any time from the Billing section of your dashboard.
• Grace period: After cancellation, your links remain active and continue to redirect for 30 calendar days.
• After grace period: Links created under the cancelled account will redirect to a "link no longer active" page. They will not be deleted — they are deactivated.
• Data export: During the 30-day grace period, you may export all link data, analytics history, and campaign records via the admin dashboard or API.
• Reactivation: If you resubscribe within 90 days of cancellation, all your links and data are restored to their previous state.
• Permanent deletion: After 90 days of cancellation without reactivation, we reserve the right to permanently delete account data. Short codes will not be recycled for at least 12 months.
• Downgrade to Starter: If you downgrade (not cancel), your most recently created links up to the Starter limit (25) remain active. Others are deactivated but not deleted.

7. Multi-Tenant Isolation

• Each tenant's data is isolated. No tenant can view, modify, or access another tenant's links, analytics, or campaign data.
• Super-admin access is restricted to Kaayko platform operators and is logged.
• Tenant administrators are responsible for managing access within their tenant.

8. Acceptable Use

You may not use the Service to:

• Distribute malware, phishing links, or deceptive content.
• Generate spam or unsolicited communications.
• Violate any applicable law, including data protection regulations.
• Circumvent usage limits through multiple accounts or technical exploits.
• Resell the Service without explicit written agreement.

Violation may result in immediate account suspension without notice.

9. API Usage

• API access is governed by your plan's call limits.
• API keys are confidential. You are responsible for any activity under your keys.
• Rate limiting is enforced. Exceeding limits returns HTTP 429.
• We reserve the right to throttle or suspend API access for abusive patterns.

10. Webhooks & Data Delivery

• Webhook delivery is best-effort with exponential backoff retry (up to 12 attempts).
• Failed webhook deliveries are stored for 7 days in the dead letter queue (Business/Enterprise plans).
• We are not liable for missed webhook deliveries due to your endpoint being unreachable.

11. Data Residency

Kortex data is hosted in Google Cloud Platform's asia-south1 (Mumbai) region. For Enterprise customers requiring specific data residency guarantees, contact us for a Data Processing Agreement.

12. Privacy & DPDP Compliance

We process personal data in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 (India). Click analytics data stores hashed IP addresses — we do not store raw IP addresses beyond the request lifecycle.

13. Intellectual Property

• The Kortex platform, code, design, and brand are owned by Kaayko.
• The "Powered by Kortex" badge on free-tier links is part of the Service and may not be removed, hidden, or obscured without upgrading to a paid plan.

14. Limitation of Liability

The Service is provided "as is". To the maximum extent permitted by law, Kaayko shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

15. Modifications to Terms

We may modify these Terms with 30 days' written notice (via email to your registered address). Continued use after the notice period constitutes acceptance. Material changes to the churn policy or pricing require 60 days' notice.

16. Termination by Us

We may terminate your account immediately for: acceptable use violations, non-payment (after 14-day grace), or legal requirement. In all other cases, we provide 30 days' notice.

17. Governing Law

These Terms are governed by the laws of India. Disputes shall be resolved in the courts of Nagpur, Maharashtra.
